Terms of Service

These Terms of Service ("Terms") are a binding agreement between Outfinex, a company registered in India with its registered office at India ("Outfinex", "we", "us"), and the person or organisation that creates an account or uses the Outfinex website, apps and services (the "Service") ("you"). If you use the Service for a company, firm or other organisation, you confirm you are authorised to accept these Terms for it, and "you" includes that organisation.
**By creating an account, clicking "I agree", or using the Service, you accept these Terms and the Privacy Policy.** If you do not agree, do not use the Service.
1. The Service
1.1 Outfinex provides online software for accounting and bookkeeping ("Books"), employee management ("EMP-MGMT"), payroll, hiring, accounting-practice management, team messaging, mail, a professional network, job listings and related tools, as described on our website from time to time.
1.2 We may add, change, limit or remove features, apps, plans and limits at any time. Where a change materially reduces a paid feature you are using, we will give reasonable notice and, if you cancel because of it, refund the unused part of a prepaid period.
1.3 Some features are offered as early access or "beta". They are provided as they are, may change or stop, and are excluded from any service commitment.
2. Accounts and security
2.1 You must be at least 18 years old and able to enter a binding contract. Information you give us must be true, accurate and kept up to date.
2.2 You are responsible for everything done through your account and for the people you invite (users, employees, accountants, staff). Keep passwords and sign-in codes secret, use two-step sign-in where offered, and tell us at once of any unauthorised use.
2.3 One person, one account. Accounts may not be shared, sold, transferred or created by automated means.
2.4 We may refuse, suspend or close an account that gives false information, is created to repeat a free trial, or is used in breach of these Terms.
3. Licence and restrictions
3.1 Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use the Service for your own internal business purposes during your subscription.
3.2 You must not, and must not allow anyone to:
- (a) copy, reproduce, modify, translate, adapt or create derivative works of the Service, its software, design, screens, workflows, texts, templates, help content or documentation;
- (b) decompile, disassemble, reverse-engineer or otherwise try to discover the source code, algorithms, rules, calculations or structure of the Service, except to the extent the law expressly permits despite this restriction;
- (c) access or use the Service to build, train, benchmark, design or improve a competing or similar product or service, or to copy its features, functions, screens or look and feel;
- (d) scrape, crawl, harvest or extract data or content from the Service by robots, scripts or other automated means, except through interfaces we expressly provide for that purpose;
- (e) publish or share performance tests, benchmarks or comparisons of the Service without our written consent;
- (f) sell, resell, rent, lease, sublicense, white-label or provide the Service to third parties, or use it as a service bureau, except as expressly allowed by a plan we offer (for example accounting practices managing their own clients' companies);
- (g) remove or alter any notice of ownership, copyright or trademark;
- (h) interfere with, overload, probe, scan or test the vulnerability of the Service, bypass any security, usage limit, plan limit or access control, or use the Service to send spam or malware;
- (i) use the Service for any unlawful, fraudulent, deceptive or harmful purpose, including money laundering, tax evasion, sanctions evasion or false records;
- (j) upload content you have no right to use, or content that is unlawful, infringing, defamatory, obscene, harassing or discriminatory;
- (k) use another person's personal data without a lawful basis, or post job listings that are fake, misleading or charge candidates a fee.
3.3 A breach of section 3.2 is a material breach. Without limiting any other remedy, we may immediately suspend or close the accounts involved without refund, and seek damages and injunctive relief; you agree that damages alone may not be an adequate remedy.
4. Intellectual property
4.1 The Service, including all software, code, databases, designs, screens, workflows, texts, templates, calculations, help content, logos and the names "Outfinex", "Outfinex Books", "Outfinex EMP-MGMT" and other product names, and all improvements to them, is and remains the exclusive property of Outfinex and its licensors, protected by copyright, trademark, trade secret and other laws. No rights are granted except as expressly stated in these Terms.
4.2 If you send us ideas, suggestions or feedback, we may use them without restriction or payment, and they do not make you an owner of any part of the Service.
5. Your data
5.1 You own your data — the records, documents and information you or your users put into the Service ("Your Data"). You give us the right to host, store, process, copy, transmit and display Your Data only as needed to provide, secure, support and improve the Service and as described in the Privacy Policy.
5.2 You are responsible for Your Data: its accuracy, lawfulness, and having the notices and consents needed for any personal data you put into the Service (for example about your employees, customers and candidates). For that personal data you are the data fiduciary / controller and Outfinex processes it on your behalf.
5.3 We may use anonymised and aggregated information that does not identify you, your organisation or any person to operate, analyse and improve the Service.
5.4 You can export Your Data while your account is active. After your account or subscription ends we may delete Your Data after 90 days, except where the law requires us to keep it longer. Keep your own copies.
6. Professional responsibility — tax, payroll and compliance
6.1 The Service is a tool. It does not give legal, tax, accounting, payroll or financial advice, and it does not replace a qualified professional.
6.2 Tax rates, statutory deductions, returns, forms, due dates and other rules shown or calculated by the Service are provided to help you. Laws change and situations differ. **You are solely responsible for checking every figure, return, payslip, filing and payment before you rely on, file or pay it**, and for meeting your own legal and filing obligations. Outfinex does not file returns or make statutory payments for you.
6.3 Statement reading, automatic categorisation, suggestions and the in-app assistant may be wrong. Review them before saving.
7. Plans, trials, fees and payment
7.1 Free plan (Basic). Some apps can be used free with limits. We may change free limits at any time.
7.2 Free trial. New companies may get a free trial of paid features for the period shown at sign-up. One trial per business; we may end a trial or refuse a new one where we believe it is being repeated or misused.
7.3 Paid plans. Fees, currencies and billing periods are as shown on our pricing page or your order. Fees are payable in advance, are non-cancellable for the period ordered and, except where these Terms or the law say otherwise, non-refundable.
7.4 Taxes. Fees exclude GST and other taxes, which are added where applicable.
7.5 Late payment. If a payment fails or is late we may suspend paid features or the account until it is paid. Your data is kept during suspension for the period in section 5.4.
7.6 Price changes. We may change prices with at least 30 days' notice, effective from your next billing period.
8. Third-party services
The Service may connect to services of others (for example email delivery, payment gateways, banks, Google, Microsoft, cloud storage). Their own terms apply, and we are not responsible for them, their availability or their handling of your data.
9. Availability and support
We aim for the Service to be available and secure but do not promise it will be uninterrupted, error-free or free of loss. Maintenance, updates and events outside our control may cause interruptions.
10. Suspension and termination
10.1 You may stop using the Service and close your account at any time.
10.2 We may suspend or terminate your access, in whole or in part, immediately and without prior notice if you breach these Terms (in particular section 3), fail to pay, create risk or legal exposure for us or others, or if required by law or a government authority. Otherwise we may end the Service for you on 30 days' notice.
10.3 On termination your right to use the Service ends at once. Sections 3.2, 3.3, 4, 5.3, 6, 11, 12, 13, 15 and any accrued payment obligations survive.
11. Disclaimer
**To the fullest extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement.**
12. Limitation of liability
12.1 **To the fullest extent the law allows, Outfinex will not be liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, business, goodwill, data, or for penalties, interest or tax assessed on you, however caused.**
12.2 **Outfinex's total liability for all claims relating to the Service or these Terms is limited to the fees you paid us for the Service in the 12 months before the event giving rise to the claim (and to INR 5,000 if you used only free plans).**
12.3 Nothing in these Terms limits liability that cannot be limited by law.
13. Indemnity
You will defend, indemnify and hold harmless Outfinex, its directors, staff and partners from any claim, loss, liability, penalty, cost or expense (including reasonable legal fees) arising from Your Data, your use of the Service, your breach of these Terms or of any law, or the acts of your users.
14. Confidentiality
Each party will keep the other's non-public information confidential and use it only for the purpose of these Terms. Non-public features, pricing, plans and roadmaps of the Service you see are our confidential information.
15. Governing law and disputes
15.1 These Terms are governed by the laws of India.
15.2 Any dispute will first be discussed in good faith for 30 days. If not resolved, it will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by Outfinex, seated in the city of our registered office, in English. Subject to this, the courts at the city of our registered office have exclusive jurisdiction, including for urgent injunctive relief, which either party may seek at any time.
16. General
16.1 Changes. We may update these Terms. We will post the new version and, for material changes, notify you by email or in the Service at least 15 days before they take effect. Continuing to use the Service after that means you accept them.
16.2 Assignment. You may not transfer these Terms without our consent. We may transfer them in a merger, acquisition or sale of business.
16.3 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
16.4 Entire agreement. These Terms, the Privacy Policy and any order form are the entire agreement on this subject. If any part is unenforceable, the rest remains in force. Not enforcing a right is not a waiver.
